Teal Jones: the equipment ahead of the shares

On October 26 Justice Weatherill approved Gillfor's purchase of listed Surrey mill equipment ahead of its share purchase, at $25,252,900 by the monitor's account, deducted from the share price, for the amendment's stated purpose of enabling Gillfor to claim the Productivity Mega Deduction. The court also granted the distribution order and a stay to June 30, 2027.

With Competition Canada's no-action letter in hand, the Gillfor and Sumas sales are targeted to close October 30. The monitor's application, returnable October 26, seeks the net sale proceeds, about $21 million on its estimate, for interim lenders owed a projected $62.6 million, ahead of about $4 million of post-filing trade claims.

The approved sales have one closing condition left, the Competition Bureau's, and on September 29 the Bureau said its review may run to November 12, the monitor reports. An amendment signed October 8, subject to court approval, would extend the interim facility to November 27 and require the remaining assets sold or refinanced by October 30.

Teal Jones: Domtar's contracts go with the licence after all

On September 10 Justice Weatherill declined to grant the reverse vesting order for Teal-Jones's Surrey mill and TFL 46 while six 2004 fibre supply contracts with Domtar and TimberWest were bound for ResidualCo. A tenth amendment to the $115,250,000 share purchase agreement moved them to the retained side, and on September 18 he granted the RVO to Gillfor Manufacturing and the linked approval and vesting order for the $8.0 million Sumas, Washington planer mill.

Why a reverse vesting order

On September 15 Justice Myers approved a reverse vesting order while asking whether its reasons were good ones. Across fifteen proceedings this year, the reasons filed come down to permits and licences that take weeks to a year to replace, tax losses and transfer tax, contracts needing consent, a Crown deemed trust, and buyers who would buy no other way.

Teal Jones: five years of losses on TFL 46

The reverse vesting order that would hand Tree Farm Licence 46 to Gillfor for a $115,250,000 share price would also send 2004 fibre supply contracts with Domtar and TimberWest to a shell. Domtar says its Howe Sound pulp mill, whose indefinite closure it announced on August 20, would then have no realistic way back. The hearing record also holds a rival's $125 million offer and a First Nation's standing $30,780,000 bid for the licence — and, filed mid-hearing, what no one had yet put in evidence: five years of the licence's own numbers, every one a loss.

Teal Jones: what the Forest Act would not let the order shed

Two days before the August 13 hearing to approve the sale of Tree Farm Licence 46, the Attorney General of British Columbia told the monitor that silviculture and road obligations under s. 79(1) of the Forest Act cannot be expunged by a reverse vesting order. The hearing was adjourned, a notice of constitutional question was filed, and by September 3 the buyer had agreed to assume the very liabilities the order was drafted to leave behind.

Teal Jones: what is left is British Columbia

Teal-Jones filed in April 2024 with fifteen entities and mills on both sides of the border. Two years and twenty-seven monitor's reports later, the American mills are sold, the monitor has been replaced once and had its powers expanded, and it now files the applications itself. On June 26 Justice Weatherill extended the stay to July 31 and approved another amendment to the facility keeping the lights on — the eighth such extension. What remains to sell is the business the company started as.
