Mundo Media Ltd. was placed in court-appointed receivership on April 9, 2019 by the Ontario Superior Court of Justice (Commercial List) under section 243 of the BIA, on the application of Royal Bank of Canada, which held general security over the debtor and specific pledges over bank accounts of Mundo Media and affiliated debtors in Luxembourg. The Receiver retained independent counsel, Goldman, Sloan, Nash & Haber LLP, to opine on the validity and enforceability of RBC's security, assisted RBC in repatriating the pledged Luxembourg funds, and distributed funds to RBC under a reimbursement agreement pending a distribution approval order. Canada Revenue Agency issued a Notice of Assessment on March 25, 2020 asserting a deemed-trust claim of CAD 919,105.72 before penalties and interest under section 165 of the Excise Tax Act, arising from a May 2017 related-party software transaction with subsidiary 2518769 Ontario Ltd. The Receiver objected and filed RC4616 election documentation; CRA still had the matter under consideration. The proceeding is closed.
