ModSpace is before the Ontario Superior Court of Justice (Commercial List) in a proceeding brought by Modular Space Corporation on December 22, 2016 under section 46 of the Companies' Creditors Arrangement Act, court file CV-16-11656-00CL, to have the ModSpace Chapter 11 cases recognised in Canada. The Chapter 11 filing carries a pre-packaged plan under which approximately $400 million of secured notes held by an ad hoc group of noteholders converts to equity, and the existing ABL facility is amended to provide exit financing of approximately $768 million. The US debtors guarantee ModSpace Canada's obligations under that facility, while ModSpace Canada stands clear of the US debtors' obligations. The proceeding remains active.
