De Cloet Greenhouse Mfg. Ltd. is the subject of a proceeding under section 46 of the Companies' Creditors Arrangement Act, commenced in the Ontario Superior Court of Justice on August 19, 2026 to have the foreign proceedings of BFG Supply Co., LLC and its affiliated debtors recognised in Canada. As at August 18, 2026 the debtors owed approximately USD 43.1 million under a revolving credit facility agented by ACF FinCo I LP, on which De Cloet is a borrower and guarantor, and approximately USD 299.5 million inclusive of PIK interest under a term loan agented by Ares Capital Corporation, which De Cloet guarantees and which is secured over the Simcoe Property by a charge registered in the principal amount of C$250 million. De Cloet owes C$1.4 million to third-party unsecured creditors and C$18 million to BFG Supply arising from its 2021 acquisition.
