Sandvine Corporation, together with Sandvine Holdings UK Limited, Procera Networks, Inc., Procera Holding, Inc., New Procera GP Company and Sandvine OP (UK) Ltd., commenced CCAA proceedings on November 6, 2024 in the Ontario Superior Court of Justice (Commercial List) under court file CV-24-00730836-00CL, with KSV Restructuring Inc. as monitor. A preliminary unaudited creditor list submitted by the applicants, as at October 25, 2024, reports combined liabilities of USD 431,975,150.13 across the six entities, comprising secured claims of USD 431,800,008 and unsecured claims of USD 1,504,844. The secured total is attributed to Acquiom Agency Services LLC and Seaport Loan Products LLC as co-agents for consenting stakeholders. No claims procedure has been approved, and creditors are not required to file proofs of claim. The proceedings remain active.
All Transition Services Agreement services being complete or no longer required, the Applicants sought termination of the proceedings, the Monitor's discharge and assignments in bankruptcy for the Remaining Sandvine Entities, which hold no material assets.

Transition Services to customers in the Terminated Jurisdictions ended December 31, 2025; the OldCos continued monitoring, transition and employee services for the NewCos under a Transition Services Agreement extended through December 31, 2026.
With closing complete, the business emerged as AppLogic Networks while the OldCos performed transition contracts for the Terminated Jurisdictions, exit due December 31, 2025 but for one licence validation service to December 31, 2026.
Further order granted during implementation; the Transactions closed on March 3, 2025 at 5:30 am EST, ahead of the March 21, 2025 outside date.
Approval and vesting order approved the Transactions with Dune Parent LLC and the Purchasers on a credit-bid basis, vesting on delivery of the Monitor's Certificate per the Implementation Steps.

The SISP was deemed terminated and the Stalking Horse Transaction Agreement declared the Successful Bid, 13 NDAs having produced no other LOIs or offers by the December 18, 2024 bid deadline.
Monitor reported on amendments to the Transition Services Agreement tied to the stalking horse sale, moving licence-monitoring, payroll and employee transition services to the NewCos, and recommended the relief sought.

Sandvine is carrying on going-concern operations (about 500 employees) while a stalking horse sale to the lenders' NewCo is expected to close by about February 28, 2025. After closing, the remaining Sandvine entities will wind down and service the transition customer contracts under a Transition Services Agreement, with the Monitor's powers expanded to support them administratively.

On October 14, 2026, Justice Dunphy granted the order that ends Sandvine's CCAA once the monitor serves its certificate, but "balked" at extending the releases to the purchaser that had provided post-closing services. The signed order releases the monitor, its counsel and the debtors' counsel; the draft had also named the AppLogic entities and the sole director.
