When The Simple Investor sold a condominium unit to an investor, SIREG Management Inc. would sign a property management agreement under which it paid the owner a fixed monthly rent and agreed to provide property management services; it would then lease the unit to a tenant and collect the tenant's rent itself. The group's business "did not generate sufficient cash to pay its expenses," its proposal trustee, AlixPartners Restructuring, Inc., wrote in its First Report of October 19, 2026: rent collected was insufficient to pay, among other things, the "guaranteed rent" under those agreements, property and condominium management costs, and the group's debt service. The trustee understands there was an approximately 20% vacancy rate in the condominium buildings, "which also impacted cash flow as the 'guaranteed rent' continued to be paid notwithstanding the vacancy," and that the group historically covered the shortfall "through refinancings or sales of its Owned Properties," per the First Report of the Proposal Trustee, Oct. 19, 2026, paras. 2.1.4, 2.3.1.
The group had been in residential real estate investment and property management in Ontario since 2009, run primarily from a head office at 1075 Sutton Drive in Burlington, and owned approximately 900 residential units while managing approximately 2,200 condominium units in 43 buildings for their owners (First Report, paras. 2.1.1–2.1.2, 2.1.5). On October 20, Justice Jana Steele of the Ontario Superior Court of Justice (Commercial List) terminated, under s. 50.4(11) of the Bankruptcy and Insolvency Act, the period within which 16 of its companies could file a proposal, and each "is thus deemed to have made an assignment in bankruptcy pursuant to section 50.4(8) of the BIA." The order authorizes AlixPartners, as trustee in bankruptcy, to administer the 16 estates on a consolidated basis under a single court file, per the Order (Termination of Proposal Period & Procedural Consolidation), Oct. 20, 2026, paras. 3–4. Two other companies in the proposal proceedings were left out: SIREG 3438 Sinnicks Inc., over which HMT Holdings Inc. is seeking a receivership, and SIREG 1075 Sutton Inc., which owns the head office (First Report, paras. 1.0.3, 2.4.1, 3.1.1). The notices of intention, the mortgagees' lift-stay orders and the appointment of an administrator for 24 of the group's condominium corporations were reported here on October 9, 15 and 17.
"The best path forward"
The trustee's motion was unopposed. Under s. 50.4(11), as the endorsement sets it out, the court may end the thirty-day period for making a proposal early if one of four disjunctive criteria applies; s. 50.4(8), "including the deemed assignment into bankruptcy, applies as if the period for making the proposal had expired" (Endorsement of Justice Steele, Oct. 20, 2026, paras. 2, 5–6). The trustee's factum relied on the second criterion, that a debtor "will not likely be able to make a viable proposal," and described the subsection as providing "a quick method to deal with a 'hopeless case' during an ongoing proposal period," citing Triangle Drugs Inc. (Re) (Factum of the Proposal Trustee, Oct. 19, 2026, paras. 22–23).
The endorsement records the trustee's three reasons. As of October 20 the companies "will not have enough liquidity to fund their operations and pay their employees," and so could not keep operating through the rest of the proposal period or any restructuring or sale process; they could not fund the costs of "any hypothetical restructuring or sale process"; and, as a result of the October 13 lift-stay orders, "only limited property remains that could be subject to any restructuring or sale process" (Endorsement, para. 7).
SIREG Management, SIREG Holdings Inc. and The Simple Investor Real Estate Group Inc., in consultation with the trustee, "have determined that they do not have funding for operations or employment beyond October 20, 2026," taking into account the need to reserve funding for the bankruptcies. SIREG Management and SIREG Holdings employ all of the group's employees (First Report, paras. 2.3.3–2.3.4). The report also records that the Condominium Management Regulatory Authority of Ontario, whose registrar suspended SIREG Management's condominium management provider licence on September 29, revoked it on October 19. The trustee lists the lack of funding past October 20, the revocation, the transition of management of individual condominium units and the lift-stay orders as what "materially limit the available restructuring options," and says "there is no identified source of funding sufficient to support the continued operations required for such a restructuring" (First Report, paras. 2.2.3, 3.2.2–3.2.3).
"I am satisfied that early termination of the NOI Proceedings is appropriate in the instant case," the judge wrote. "Bankruptcy represents the best path forward for these companies and will facilitate an orderly wind-down" (Endorsement, para. 8).
Sixteen estates, one file number
Schedule "A" to the order names the 16: SIREG Holdings Inc., SIREG Management Inc. and The Simple Investor Real Estate Group Inc., and the 13 property companies of which Firm Capital Mortgage Fund Inc. is a secured creditor, with properties in Peterborough, Brockville, London and Baysville (Order, Sched. "A"; First Report, paras. 1.0.1, 2.2.4; Order (Administrative Consolidation and Lifting Stay of Proceedings), Oct. 13, 2026, Sched. "A").
The trustee may administer the estates under one court file number, BK-26-03429084-0032; call creditors' meetings through one combined notice and advertisement and hold them jointly, "provided that the result of any creditors' vote shall be separately tabulated for each Estate"; issue consolidated reports; and keep one bank account, with separate accounting records of each estate's receipts and disbursements. The order "is not a substantive consolidation of the Estates": it does not affect any company's separate legal status or corporate structure, make any estate liable for a claim for which it is not otherwise liable, or give any company an interest in an asset it would not otherwise have (Order, paras. 4–5).
Separate administration, the trustee wrote, would mean separate notices, meetings and reports for each company, "a duplication of work" that would "increase the costs of administration to be funded from the Simple Investor Group's very limited resources"; shared expenses will be allocated among the estates "on a reasonable and supportable basis" (First Report, paras. 3.3.2, 3.3.5). "The proceedings will remain substantively separate," the judge wrote (Endorsement, para. 9).
The bankruptcies are intended, the trustee says, to facilitate an orderly wind-down, "including Wage Earner Protection Program filings." Operations and employment were not expected to continue past October 20, though certain limited transitional activities were anticipated after it, including the return of available condominium keys to unit owners and the preservation and transfer of books and records (First Report, paras. 2.3.6–2.3.7).
The condominium corporations
Brian Antman, appointed on October 15 as administrator of the condominium corporations for which no objection had been raised (First Report, para. 2.2.5), updated the court on October 20. He was setting up new bank accounts for the corporations on the understanding that their funds "were commingled in one or more accounts" in SIREG Management's name, a point he had not been able to confirm, he says, because he had received none of the corporations' records from SIREG Management "despite requesting same." On the limited documents he had reviewed, he is of the view that "there may be funds in the hands of SIREG Management and/or an entity related to SIREG Management that would be impressed with a trust" in favour of one or more of the corporations under s. 115 of the Condominium Act, 1998. His example is Middlesex Standard Condominium Corporation No. 353, whose audited financial statements for the year ended July 31, 2025, he says, record $128,385.00 due to its reserve fund from SIREG Management and not held in that fund as the Act requires (Aide Memoire of the Administrator, Oct. 20, 2026, paras. 3–4). No response from SIREG Management to the aide memoire is in the record read for this piece.
