U.S. Steel Canada: twelve years to a surplus

The Monitor's sixtieth report arrives as the trusts built to fund Stelco's pension deficit ask to distribute more than $150 million of surplus to roughly 11,400 pensioners. Nobody opposed. Justice Conway adjourned the motion anyway — if the trust documents require written consent to their amendment, no-position letters will not do — and set October 1 for the return.

The purpose of this Fifty-Second Report of the Monitor (the “Fifty-Second Report”) is to provide information to the Court on the following: (a) an update on the activities of the Monitor, including in respect of its role as court-appointed Interim Land Restructuring Officer of the Land Vehicle (as defined herein) (the “LRO”); (b) the motion being brought by the Monitor, in consultation with counsel to each of the Land Vehicle’s Stakeholders (as defined below) for an Order (the “Parcel A Land Transaction Authorization and Remaining Property Protocol Implementation Order”) substantially in the form attached at Tab “3” to the Monitor’s Motion Record, for a motion to be held on June 8, 2021, inter alia: i. confirming the authority of, and directing the Monitor, in its capacity as LRO, to execute and deliver, for and on behalf of Lake Erie Nominee (as defined later herein), the agreement of purchase and sale dated July 16, 2020 (as such agreement was amended by the Sale Agreement Amendment and the Waiver (each as defined later herein), and as it may be amended and extended from time to time, collectively the “Sale Agreement”) between the Lake Erie Nominee and TUQ4 Inc. (“TUQ” or the “Purchaser”), for the sale of a parcel totaling approximately 32.2 acres of industrial land in Haldimand, Ontario, (the “Parcel A Land Transaction”) and any related documents or instruments contemplated thereby or in connection therewith (collectively with the Sale Agreement, the “Parcel A Land Transaction Documents”) and to perform its obligations thereunder; ii. ordering that, effective upon the conveyance to the Purchaser or its nominee, as applicable, of the real property being sold pursuant the Parcel A Land Transaction Documents (the “Parcel A Land”), the LRO’s Charge (as defined in and created under Section 18 of the Interim Land Governance Order (defined below)), and any security interest in favour of Her Majesty The Queen in the Right of Ontario, as represented by the Ministry of Finance, will be automatically released and discharged as against the Parcel A Land; iii. ordering that the LRO shall be authorized and directed to pay the net proceeds (after deduction of any expenses, taxes and fees, as applicable) from the Parcel A Land Transaction to LifeWorks (Canada) Ltd. (“LifeWorks”), formerly known as Morneau Shepell Ltd., in its capacity as Administrator (as defined below) toward funding the five main registered pension plans (the “Stelco Plans”) through the Pension Deficit Funding Trust to be disbursed in accordance with the Pension Deficit Funding Trust Agreement; iv. ordering and confirming that the Monitor, in its capacity as LRO, is authorized and directed, on behalf of the Lake Erie Nominee (as defined later herein), to implement and act in accordance with the protocol described in Appendix “A” to this Fifty-Second Report (as such protocol may be revised, modified or amended from time to time, the “Remaining Property Sale Protocol”) relating to the sale of the remaining property held by the Land Vehicle (as defined later herein) identified in Appendix “B” of this Fifty-Second Report (the “Remaining Land Vehicle Property”); v. ordering that, effective upon the conveyance of the Affected Estimated Value Property (as define later herein), the LRO’s Charge (as defined in and created under Section 18 of the Interim Land Governance Order (defined below)) will be automatically released and discharged; vi. ordering that the C&W Fee Structure Adjustment (as defined herein) and the C&W Estimated Value Range (as defined herein), attached as “Confidential Appendix 1” and “Confidential Appendix 2” respectively, to this Fifty-Second Report shall be kept confidential and remain under seal until further order of this Court; and vii. approving this Fifty-Second Report and the activities of the Monitor, including in its capacity as LRO

(c) the motion being brought by the Monitor for an Order substantially in the form attached to the Monitor’s Notice of Motion for a motion to be held on June 26, 2020: i. confirming the authority of the Monitor, in its capacity as LRO, to execute, for and on behalf of Lake Erie Nominee (as defined later herein), the Parcel D Transaction Documents (defined below) related to the sale of certain lands owned by the Lake Erie Nominee to NST Terminal Three (“NST”) (referred to herein as the Parcel D Transaction (defined below)) and to perform its obligations thereunder; ii. ordering that, effective upon the conveyance to NST of the real property being sold pursuant to the Parcel D Transaction Documents, the LRO’s Charge (as defined in and created under Section 18 of the Interim Land Governance Order (defined below)) will be automatically released and discharged against the lands being sold as part of the Parcel D Transaction (defined below); iii. approving the amended short-term cash flow budget for the Land Vehicle (the “Land Vehicle Budget”) through December 31, 2020, and authorizing the Land Vehicle, and the LRO on behalf of the Land Vehicle, to make any expenditures consistent with the Land Vehicle Budget; iv. ordering and directing that an aggregate amount of $1,000,000 from the proceeds of the 242 Queen Street Transaction (defined below) shall be added to the reserve Land Vehicle Cost Reserve established, held and maintained by the LRO pursuant to paragraph 11 of the Burlington Street, Ponderosa and 242 Queen Street Authorization Order (defined below), as security for future costs and expenses of the Land Vehicle as set out in the Land Vehicle Budget; v. ordering that, subject to the LRO retaining the Land Vehicle Cost Reserve, the LRO shall be authorized and directed to pay the balance of the net proceeds from the 242 Queen Street Transaction and the Parcel D Transaction to Morneau Shepell Ltd., in its capacity as Administrator (as defined below) toward funding the five main registered pension plans (the Stelco Plans ; through the Pension Deficit Funding Trust to be distributed in accordance with the Pension Deficit Funding Trust Agreement ; and vi. approving this Fiftieth Report, and the Monitor’s Forty-Ninth Report dated November 20, 2019 (the “Forty-Ninth Report” and collectively with the Fiftieth Report, the “ Reports ”), and the activities of the Monitor, including in its capacity as LRO, described in the Reports

(“ Hamilton Studios ”) (referred to herein as the “ 242 Queen Street Transaction ”) and to perform its obligations thereunder; ii. confirming the authority of the Monitor, in its capacity as LRO, to execute, for and on behalf of the Land Vehicle (as defined later herein), certain agreements related to the sale of certain lands, interests in land, and other assets owned by the Land Vehicle to Stelco Inc. (“ Stelco ”) (referred to herein as the “ Burlington Street and Ponderosa Transaction ”) and to perform its obligations thereunder; iii. ordering that, effective upon the conveyance to Stelco (or its permitted assignee under the Purchase Agreement (defined below)) of the land assets being sold to Stelco pursuant to the Burlington and Ponderosa Transaction Documents (defined below), the LRO’s Charge, as defined in and created under Section 18 of the Interim Land Governance Order (defined below) and any security interest in favour of Her Majesty the Queen in Right of Ontario, as represented by the Minister of Finance will be automatically released and discharged against the Burlington Street (defined below) property and the Ponderosa Rights (defined below); iv. ordering and confirming that, if Stelco or any entity to whom Stelco assigns the Ponderosa Rights or the right to receive the transfer of the Ponderosa Rights, acquires the Ponderosa Property (as defined in the Purchase Agreement) in accordance with the Reconveyance Agreement (defined below), the Ponderosa Property will not be subject to the charge contemplated by Section 4(b) of the Land Transaction Order (defined below); v. ordering that, effective upon the conveyance to Hamilton Studios (or its permitted assignee under the 242 Queen Purchase Agreement (defined below)) of the real property being sold to Hamilton Studios pursuant to the 242 Queen Transaction Documents (defined below), the LRO’s charge as defined in and created under Section 18 of the Interim Land Governance Order (defined below) will be automatically released and discharged against the 242 Queen Street (defined below) property; vi. approving the amended short-term cash flow budget for the Land Vehicle (the “ Land Vehicle Budget ”) through December 31, 2019, and authorizing the Land Vehicle, and the LRO on behalf of the Land Vehicle, to make any expenditures consistent with the Land Vehicle Budget and make draw requests under the Province Land Vehicle Loan (defined below) if necessary to secure the necessary funds to make such expenditures; vii. ordering and directing the LRO to establish reserves in the aggregate amount of $3,500,000 (the “ Land Vehicle Cost Reserve ”) from the proceeds of the Burlington Street and Ponderosa Transaction (the “ Proceeds ”), as security for future costs and expenses of the Land Vehicle as set out in the Land Vehicle Budget; viii. ordering that, subject to the LRO retaining the Land Vehicle Cost Reserve, the LRO shall be authorized and directed to use the balance of the Proceeds: first, to repay the outstanding balance of the Province Land Vehicle Loan (defined below), provided that the Province Land Vehicle Loan shall remain available to the Land Vehicle and the LRO; and second, to pay the remaining net balance to Morneau Shepell Ltd. toward funding the Stelco Plans (defined below); and ix. approving this Forty-Eighth Report, and the Monitor’s Forty-First Report dated June 8, 2017, Forty-Second Report dated June 26, 2017, Forty-Third Report dated July 20, 2017 and Forty-Sixth Report dated December 14, 2017 (collectively with the Forty-Eighth Report, the “ Reports ” which are attached (without appendices) hereto as Appendix “ B ”), and the activities of the Monitor, including in its capacity as LRO, described in the Reports
