Structurlam Mass Timber Corporation and the related debtors have been the subject of a foreign recognition proceeding under section 46 of the Companies' Creditors Arrangement Act since April 28, 2023, on an application by SLP Holdings Ltd. in the Supreme Court of British Columbia, file S 233209, with Alvarez & Marsal Canada Inc. as information officer. The prepetition secured debt, approximately $20.5 million CAD and US$34.9 million in principal at the petition date, and the DIP facility of up to $7,500,000 were both paid in full on or about June 20, 2023. Under the combined disclosure statement and plan filed October 17, 2023, general unsecured claims are estimated at US$99,780,470 for SMTU, recovering 21.1%, US$80,687,555 for SLP, recovering nothing, and US$19,010,126 for SMTC, recovering 21.2%.
The officer filed report no. Sixth Report. The Petitioners' assets were transferred to the Liquidating Trust on the Plan's Effective Date (January 11, 2024), and after completing their fiduciary obligations the Petitioners are to be dissolved; the Information Officer now seeks its own discharge and termination of the CCAA proceedings.
The officer filed report no. Fifth Report of the Information Officer. The Petitioners' assets have already been sold; the Amended Combined DS and Plan is a liquidating plan under which remaining assets will transfer to a Liquidating Trust to be administered for distributions to creditors. The plan was approved by the voting classes and confirmed by the U.S. Court on December 19, 2023, and Canadian recognition of the Confirmation Order is sought.

The officer filed report no. Third Report. The sale of substantially all of Structurlam's assets to Mercer closed on June 15, 2023, and SMTC will have to be wound down as a result. Mercer assumed the unionized employees and offered employment to select others, while Structurlam intends to pay terminated employees their outstanding wages and vacation pay but not termination or severance pay.

The officer filed report no. Second Report. Structurlam's assets are being sold in the Chapter 11 process to Mercer International on a winning bid of USD $83.5 million. Closing is expected in early June 2023, and Mercer will assume the union collective agreement and certain Canadian contracts. Proceeds are expected to repay the interim financing, administrative and priority claims and BMO's secured debt in full, leaving funds for general unsecured creditors.
The court granted an approval and vesting order for the sale to Mercer International Inc.
