| The purpose of this report (the “Fifth Report”) is to provide information to the Court on the following: a) the activities of the Monitor and the Acerus Group’s operations since the fourth report of the Monitor dated June 27, 2023 (the “Fourth Report”), including the closing of the Transactions; b) the partial revocation of the failure-to-file cease trade order (“FFCTO”) granted by the Ontario Securities Commission (“OSC”); c) the Lease Disclaimer and the Keldmann Disclaimer (both as defined and discussed below); d) the Acerus Group’s receipts and disbursements for the period from June 12, 2023 to July 9, 2023, as compared to the cash flow forecast appended as Appendix “D” to the Fourth Report; and e) the Applicants’ motion for an Order (the “CCAA Termination Order”), among other things: i. approving the fees and disbursements of the Monitor and its counsel as described in this Fifth Report, including the estimated fees and disbursements of the Monitor and its counsel incurred to conclude these CCAA Proceedings or to address matters which are ancillary or incidental to these CCAA Proceedings (the “Subsequent Fees and Disbursements”); ii. approving the Fourth Report and this Fifth Report and the activities of the Monitor as set out in those reports; iii. expanding the Monitor’s powers in respect of the Applicants/Residual Cos.(as defined and discussed below); iv. approving the assignment into bankruptcy of the Applicants and authorizing, but not requiring, the Monitor to act as the trustee-in-bankruptcy of each of the Applicants; v. extending the Stay Period to the CCAA Termination Time (as defined below) or such other date as the Court may order; vi. terminating each of the Charges (as defined in the ARIO), discharging the Monitor and the CRO, and terminating these CCAA Proceedings upon the service of the Monitor’s CCAA Termination Certificate (as defined below); and vii. confirming that the Release granted in the Approval and Reverse Vesting Order applies to the CRO and Naveed Z.
