1340182 Ontario Limited and Kazembe & Associates Professional Corporation have been under the receivership of MNP Ltd. since May 11, 2023, when the Ontario Superior Court of Justice (Commercial List) appointed the firm under section 243(1) of the Bankruptcy and Insolvency Act and section 101 of the Courts of Justice Act in file CV-23-00698539-00CL. Security against the realty company's Wilson Property runs from 923944 Ontario Ltd. as first mortgagee, owed a minimum of approximately $1,160,000, to CIBC as second mortgagee owed approximately $1,000,000 and expected to suffer a shortfall, and Arthur Bryan in third position. City of Toronto property tax arrears of $85,422.37 as at October 5, 2023 rank as a priority lien. CRA has asserted HST claims against both debtors, including a deemed trust claim of $171,334.24 against the operating company.

The Wilson Property sale closed in January 2024 with proceeds remitted to the Receiver, K&A OpCo's client files were transferred to Courtney, and the receivership has substantially concluded with only holdback administration, final distribution, and HST filings remaining.
The court granted an approval and vesting order for the sale to 1000563411 Ontario Inc. Closing terms, as extracted: Vesting effective upon delivery of Receiver's Certificate confirming payment of the Purchase Price and satisfaction of closing conditions.
