The purpose of this Forty-Fourth Report of the Monitor (the "Forty-Fourth Report") is to provide information regarding, and the Monitor's support for, the Applicants' motion seeking approval of the transactions contemplated by: • a share purchase agreement dated April 21, 2010 (the "LGN Sale Agreement"), amongst NNL and Telefonaktiebolaget LM Ericsson (Publ) ("Ericsson") in respect of the sale of NNL's shares of LG-Nortel Co. Ltd. ("LGN"); and • a termination agreement dated April 21, 2010 (the "Termination Agreement") between LG Electronics Inc. ("LGE"), NNL and Nortel Networks Korea Limited ("NN Korea"); and to provide an update on certain matters relating to the CCAA proceedings
