The purpose of this One Hundred and Twenty Sixth Report of the Monitor (the “Report”) is to provide this Court with information regarding the Monitor and Canadian Debtors’ motion seeking: a) approval of an asset sale agreement (the “Alibaba Sale Agreement”) dated January 5, 2016, amongst NNL and NNTC (collectively, the “Seller”), as seller, 浙江 阿里巴巴云计算有限公司 (a/k/a ZheJiang Alibaba Cloud Computing Limited1) (the “Purchaser”), as purchaser, Alibaba.com LLC (the “Designated Recipient” and, collectively with the Purchaser, “Alibaba” and with the Seller, the “Parties”), as designated recipient, and Norton Rose Fulbright Canada LLP (solely for the limited purpose of acting as escrow agent in accordance with the escrow terms attached as Schedule A to the Alibaba Sale Agreement) (“Norton Rose”), in respect of the sale of the Seller’s rights in a certain number of IP Addresses (defined below); and b) a sealing order in respect of the confidential appendices to the Report, and to provide the Monitor’s support in respect thereof
