The purpose of this fifty-fourth report of the Monitor (the "Fifty-Fourth Report") is to provide information regarding the Applicants' motion seeking approval of a sale of Nortel's Multi-Service Switch business (the "MSS Business") in North America pursuant to an asset sale agreement dated September 24, 2010 (the "Ericsson Agreement"), amongst NNC, NNL and NNI (collectively, the "Main Sellers") and certain of their affiliates (the "Other Sellers" and, with the Main Sellers, the "Sellers"), and Telefonaktiebolaget LM Ericsson (publ) ("Ericsson" or the "Purchaser") and to provide the Monitor's support thereof
